‍Term: This agreement starts on the day you click "Submit" and continues for successive

Service Periods: of 1 month each, and continues for the Term which is defined in your proposal with Sella and/or until you or Sella gives written notice to the other in accordance with the Cancellation section below.

‍Service Fees: Services are priced on pay-per-use basis:
Price range of $1.99-$5.97 ex GST for each prospect or contact for which the Sella freelancer ‘prospects’ or improves the dataPrice range of $1.99-$5.97 ex GST for each ‘outreach’ which the Sella freelancer makes to a prospect or contact to generate them as a lead.
You are required to pay a minimum of 80% of the budget allocated within a service period regardless of services used.

‍Budget: You can cap the amount of Service Fees in a Service Period by setting a Budget. The Service Fees, Service Period and Term are pre-defined in your proposal as agreed with Sella.
When the aggregate of Service Fees in a Service Period reaches your Budget, Sella will stop providing the Services to you. Sella will resume providing the Services when you elect to raise your Budget or when the next Service Period starts, whichever is earlier.
If at the end of a Service Period you have a balance remaining in your Budget, it will roll-over and be added to your Budget for the next Service Period. NB. Up to a maximum of 20% of the budget can be rolled over in any service period.
For example, if your Budget is $1,000 but you use only $800 of Services in the current Service Period, your $200 balance will rollover to the next Service Period. Your available Budget for that next Service Period will be $1,200 ($200 rollover plus $1,000 Budget).
At the end of your campaign Term any unused Budget for Service Fees is non-refundable and cannot be transferred to another campaign.

Initial payment:
You agree to pay, and you authorise us to charge to your credit card:(a) your Budget for Service Fees in the first Service Period, or a different amount that you agree with us; and(b) if you leverage our optional Strategy Meeting for optimising your Sella campaign, a non-refundable fee of $500 ex GST.

‍Recurring Payments: You agree to pay, and you authorise us to charge your Budget for Service Fees to your credit card on the first business day of each Service Period.

‍Cancellation: You may terminate this agreement by emailing Sella(info@sella.io) not before the first 3 service periods (months) have been completed.
Sella can terminate this agreement by email to your email address below, in which case the termination takes effect immediately.

On expiry or termination of this agreement, any unpaid Service Fees become due and payable.  If you have an unused balance of Service Fees, we will refund that balance to you.

‍Terms of Use: You agree to be bound by Sella's Terms of Use (https://sella.io/client-terms-conditions/) which govern your use of the Services and the Sella platform.

‍General: The paragraphs headed "Liability" and "General" in the Terms of Use form part of this agreement.

You and Sella agree that you will acquire the Services, and Sella will provide the Services to you, on the terms and conditions above.
